Our Shanghai office advises new entrants and long-established clients on investment in the PRC, including the establishment and operation of wholly foreign-owned enterprises and joint ventures. Lawyers in the corporate team, China investment group and the dispute resolution practice act for international and Chinese business clients on high profile cross-border work, combining on-the-ground expertise with international reach.

We opened our Shanghai office in 2003, when the PRC Ministry of Justice approved Herbert Smith as one of the first international law firms to operate a second office in China. Our Shanghai practice now has 20 fee-earners (including two partners) who speak Cantonese, English, French, German, Indonesian, Japanese, Malay, Mandarin and Shanghainese and the office advises on UK, US and Hong Kong law.

The corporate team advises on the legal and strategic issues in negotiating joint ventures, practical approaches to dealing with the regulatory environment, investment and management of governance and other country-specific risks. The team advises a range of clients, including domestic and foreign corporations and financial institutions on M&A and all legal services concerning China-related investment, projects and commercial matters. The team also advises new entrants and long-established clients on investment in the PRC, including the establishment and operation of wholly foreign-owned enterprises and joint ventures.

The China investment group advises clients on project finance and project development in China, including the legal and strategic issues in negotiating joint ventures, practical approaches to dealing with the regulatory environment, investment and management of governance and other country-specific risks.

The mainland China-based dispute resolution practice provides domestic and overseas clients with access to international disputes capability in China. Clients include a broad cross-section of international corporates, banks and other financial institutions operating in China.
