Carolyn Sng

Carolyn's practice includes mergers and acquisitions, restructurings, corporate finance and private equity transactions. She joined Herbert Smith's corporate department in June 2004 from a City firm and has worked in Hong Kong since 1999.

Carolyn qualified as a solicitor in England and Wales in 1998 and was admitted as a solicitor in Hong Kong in 2003. She speaks English and Putonghua.

Carolyn's experience includes advising:

  • Goldman Sachs (Asia) and other underwriters on a HK$3.1 billion IPO of ZTE Corporation, the first time a Chinese company listed on the mainland A share market sought a subsequent listing in Hong Kong

  • Industrial and Commercial Bank of China (Asia) on a US$300 million five-year fixed-rate Eurobond listed in Singapore

  • Greentown China Holdings on its HK$2.67 billion offering of shares in a Hong Kong IPO and Rule 144A/Regulation S international offering

  • First Choice Holdings in its acquisition of the Pacific World companies and business in Asia

  • Giordano International on a possible takeover offer from Fast Retailing Co Ltd

  • China Merchants Bank, the first commercial bank in China wholly owned by corporate shareholders, on its HK$20.7 billion (US$2.66 billion) H Share listing on the Hong Kong Stock Exchange

  • Sinopec on its HK$4 billion acquisition of oil and gas assets from China Resources Enterprises

  • Grace Semiconductor Manufacturing Corporation on its various pre-IPO placings to strategic and financial investors

  • Aéroports de Paris Management on its HK$1,970.4 million block trade of its entire stake in Beijing Capital International Airport, arranged by Morgan Stanley & Co. International Limited

  • Industrial and Commercial Bank of China (Asia) in relation to the HK$2.5 billion (US$327 million) issuance of bonus warrants
