Clive Barnard

Clive has over 20 years experience as a debt finance specialist operating at the core of Herbert Smith's debt practice.  During his career Clive has handled most sorts of debt finance work.  He has a wide range of expertise in banking and capital markets.

His current workload includes a range of debt transactions with, in recent months, an emphasis on cross border acquisition finance.

Credentials

  • leading the team advising Tata Steel in relation to the debt and acquisition finance facilities used to finance its  acquisition of the Corus group of companies – a highly complex financing of a contested takeover and the subsequent refinancing of these facilities
  • leading the financing of Essar's bid for Hutchison Whampoa's c. $13 billion stake in Hutch Essar Limited, the biggest onshore Indian LBO financing to date
  • acting for Essar in relation to the $3.6 billion monetisation of certain option arrangements entered into by it with Vodafone
  • the liability management and new financing facilities required for the creation of Tui Travel plc including working capital and bonding facilities which were over subscribed
  • liability management and new financing facilities required for the demerger of Biffa plc from Severn Trent plc
  • the £5 billion financing of Yell Group Plc's acquisition of the Spanish company, TPI (Telefónica Publicidad e Información S.A.) including the technically challenging and innovative liability management process required to enable the transaction to proceed
  • working on the financing of UBS/QIA consortium bid for RWE Thames Water Plc, valued at some £8 billion
  • advising Hammerson Plc on its bank debt and capital markets issues including its recent development finance facility for 125 Old Broad Street
  • leading the team advising the Mandated Lead Arrangers in relation to the £4.2 billion facility made available to finance PSA's bid for P&O
  • a number of tax driven asset finance matters of aircraft, infrastructure, film and telecommunications assets
