Paul Ellerman

Paul is head of the firm's employee incentives group, having established a wide range of incentive schemes for a large number of quoted and unquoted companies. In addition, he has advised on the share scheme aspects of many takeovers, flotations, rights issues, demergers and schemes of arrangement. He has been very active in the development of international share schemes, helping to establish various types of share incentive arrangements in numerous countries worldwide.

Paul is the Consulting Editor of Employee Share Plans: International Legal and Tax Issues published by Global law and Business, as well as being a member of the Tax Committee of the Share Plan Lawyers Organisation.

  • advising Tata Steel on the share scheme aspects of its proposed £4.3 billion takeover of Corus Group
  • incentives advice to moneysupermarket.com on its £1 billion London Stock Exchange flotation and subsequently
  • advising AOL on its $800m acquisition of social networking site Bebo Inc
  • advising Taylor Nelson Sofres in connection with the £1.1 billion hostile takeover by WPP plc
  • acting for Bradford & Bingley prior to nationalisation on its various rights issue proposals.
