Employee incentives

The employee incentives group advises on all advisory and transactional aspects of employee share schemes and other types of share or cash-based long term incentives in the UK and overseas, including:

  • design of schemes, including current trends
  • tax-effective share allocations for participants and companies
  • how to deal with the cost of schemes
  • overseas regulatory and tax issues
  • financing of schemes
  • the impact of flotations, demergers and other corporate actions on employee share schemes
  • corporate governance issues and remuneration committee support.

Our experience of share schemes and other employee incentives dates back to our involvement with many privatisations in the 1980s, and we have since been acknowledged as leaders in advising on employee share schemes.

We work hand-in-hand with our colleagues in the employment and pensions groups, our corporate team and tax lawyers and also our in-house accountancy consultant..

Our major clients include AXA, BAA, BG, BAT, Bradford & Bingley, Bristol Water, Centrica, Group 4 Securicor, Michael Page, Societe Generale, TUI Travel and Johnson Matthey.

The practice is becoming increasingly international. We advise on offerings to UK employees from companies in many overseas countries, particularly the US and France. We have expanded our work in extending UK schemes to overseas countries. Based in London, we help our overseas offices with transactional and advisory work.
